Terms of Service
1. Who we are
Exolv Pulse ("Pulse", "the Service") is a staff management application operated by Exolv LLC ("Exolv", "we", "us", "our"). By accessing or using the Service, you ("you", "the customer", "the user") agree to be bound by these Terms of Service ("Terms").
2. Acceptance of terms
By registering for, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service. If you are using the Service on behalf of a business or other entity, you represent that you are authorised to bind that entity to these Terms.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for ensuring that your use of the Service complies with all laws that apply to you and your business, including employment, labour, and data-protection laws in your jurisdiction.
4. Your account
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You agree to provide accurate and complete information and to keep it up to date.
- You are responsible for the conduct of any managers, staff, or other people you allow to access the Service through your account or through shared screens such as clock-in or cashier links.
5. Subscriptions, billing and trials
- The Service is offered on a subscription basis. Fees, plan limits, and billing periods are described at the point of purchase and may be updated from time to time.
- Any free trial, where offered, converts to a paid subscription at the end of the trial period unless cancelled beforehand.
- Subscriptions renew automatically for successive periods unless you cancel before the renewal date. You may cancel at any time; cancellation takes effect at the end of the current billing period.
- You authorise us and our payment processors to charge your chosen payment method for all fees due.
6. No refunds
All fees are non-refundable. Except where a refund is required by applicable law, we do not provide refunds or credits for partial billing periods, unused time, or subscriptions that remain active but unused. Cancelling a subscription stops future charges but does not entitle you to a refund of amounts already paid.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful, harmful, or fraudulent purpose;
- Upload content or data you do not have the right to use, or that infringes anyone's rights;
- Attempt to gain unauthorised access to the Service, other accounts, or our systems;
- Interfere with, disrupt, or place undue load on the Service;
- Resell, sublicense, or provide the Service to third parties except as expressly permitted;
- Use the Service to store or process data in violation of any applicable law.
8. Your data and responsibilities
You are solely responsible for the data you and your team enter into the Service, including employee information, attendance records, and performance data. You represent that you have obtained any consents and given any notices required by law to collect and process that data — including from your employees — and that your use of the Service complies with all applicable employment and privacy laws. Pulse is a tool that records and displays the information you provide; you are responsible for how you use it, including any employment, pay, or disciplinary decisions.
9. Not payroll, legal, or financial advice
The Service may include features that help you track pay, bonuses, deductions, and similar information. These features are provided for convenience and record-keeping only. Pulse is not payroll software and does not calculate, withhold, or file taxes or statutory contributions. Nothing in the Service constitutes legal, financial, tax, or professional advice. You are responsible for verifying any figures and for complying with all applicable laws. You should consult qualified professionals where appropriate.
10. Availability and changes
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, add, or remove features at any time. We may also update these Terms; where we do, we will make the updated version available, and your continued use of the Service constitutes acceptance of the changes.
11. Service provided "as is"
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will meet your requirements or that any data, calculations, or outputs will be error-free.
12. Limitation of liability
To the maximum extent permitted by law, Exolv LLC and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of (or inability to use) the Service. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the three (3) months before the event giving rise to the claim.
13. Indemnity
You agree to indemnify and hold harmless Exolv LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your data, or your breach of these Terms or of any law.
14. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us, other users, or third parties. On termination, your right to use the Service ends. We may delete your data after termination in line with our data-retention practices.
15. Governing law
These Terms are governed by the laws of the Republic of Trinidad and Tobago, without regard to conflict-of-law principles. You agree that the courts of Trinidad and Tobago will have jurisdiction over any dispute arising from these Terms or the Service, subject to any mandatory rights you have under the law of your own country of residence.
